Definitions

TMO Auto Solutions LLC provides economy and standard rental vehicles designed for affordable, reliable, and efficient transportation. Our fleet primarily includes fuel-efficient compact cars, sedans, and small SUVs from well-known manufacturers such as Toyota, Honda, Nissan, Hyundai, Kia, Chevrolet, Ford, Mazda, Mitsubishi, and similar brands. Vehicles are intended for everyday commuting, short trips, and budget-friendly travel rather than high-performance or luxury use.

Rental, Indemnity, and Warranties

This is a contract for the rental of a vehicle. We may repossess the vehicle at your expense without notice if the vehicle is abandoned or used in violation of the law or this Agreement. You agree to indemnify, defend, and hold us harmless from all claims, liabilities, costs, and attorney’s fees arising out of this rental or your use of the vehicle.

We make no warranties, express or implied, regarding the vehicle, including but not limited to any implied warranty of merchantability or fitness for a particular purpose. Vehicles are provided in an “as-is” condition suitable for standard, lawful operation.

Condition and Return of Vehicle

You must return the vehicle to our rental location on the date and time specified in this Agreement and in substantially the same condition as received, ordinary wear and tear excepted. If the vehicle is returned after business hours, you remain responsible for the vehicle and any loss or damage until it is inspected during our next business day.

Any servicing, repairs, or replacement of parts or accessories during the rental period requires our prior approval. You are responsible for monitoring dashboard warning lights and maintaining appropriate fluid levels.

Responsibility for Damage or Loss; Reporting to Police

You are responsible for all loss, theft, or damage to the vehicle. This includes the cost of repair or the actual cash value of the vehicle if it is deemed a total loss, plus loss of use, diminished value, and administrative expenses.

All accidents, theft, vandalism, or incidents involving damage must be reported to us and the appropriate law enforcement authorities immediately upon discovery.

Breach of Agreement (Prohibited Uses)

The following actions constitute a breach of this Agreement and make you fully responsible for all resulting loss or damage:

* Use by an unauthorized driver or a driver with a suspended or invalid license
* Driving under the influence of alcohol, drugs, or impairing substances
* Providing false or misleading information to obtain or extend a rental
* Use for illegal purposes (other than minor traffic violations)
* Carrying persons or property for hire, towing, pushing, or racing
* Driver training or instruction
* Transporting hazardous, illegal, or dangerous materials
* Use outside approved geographic limits
* Overloading the vehicle beyond its rated capacity
* Driving on unpaved or off-road surfaces
* Carrying more passengers than available seat belts
* Failure to use legally required child safety seats
* Odometer tampering
* Operating the vehicle when mechanical warning signs are clearly present
* Improperly secured cargo
* Reckless, willful, or negligent operation
* Failure to notify police after an accident involving damage or injury
* Transporting animals that cause damage to the vehicle

You waive all claims against us for any criminal reports or legal actions arising from your breach of this Agreement.

Insurance

You are responsible for all damage or injury you cause to others. You agree to maintain valid auto liability, collision, and comprehensive insurance covering you, us, and the vehicle.

Where required by state law, or if you do not have personal insurance, we provide minimum liability coverage as required by applicable financial responsibility laws. This coverage is secondary to any other available insurance and is void if you violate this Agreement or fail to cooperate in an investigation.

Charges

You agree to pay all charges due under this Agreement, including but not limited to:

* Rental time and mileage charges
* Additional driver fees
* Optional products or services
* Fuel replacement charges
* Applicable taxes and fees
* Parking tickets, tolls, traffic violations, towing, and impound fees
* Vehicle recovery or repossession costs
* Collection and attorney’s fees
* Late payment fees as permitted by law
* Returned check fees
* Cleaning fees (up to $350) for excessive dirt, odor, or debris

Deposit

We may apply your security deposit toward any outstanding amounts owed under this Agreement.

Your Property

We are not responsible for loss of or damage to personal property left in or on the vehicle, our facilities, or any service vehicle, whether caused by negligence or otherwise.

Modifications

No term of this Agreement may be modified except in writing and signed by us. Rental extensions require vehicle inspection and written approval. This Agreement represents the entire understanding between you and us and supersedes all prior agreements.

Miscellaneous

Failure to enforce any provision of this Agreement does not waive our right to enforce it later. If any provision is found unenforceable, the remaining provisions remain valid. To the fullest extent permitted by law, we are not liable for consequential, special, or punitive damages arising from this rental.
